Brazil's antitrust agency, CADE (Administrative Council for Economic Defense), has authorized Gera Energia to take control of Raízen GD, in yet another divestment move by the Raízen Group in the distributed solar generation segment.

The value of the transaction was not disclosed. The acquired company owns plants located in several states: Bahia, Espírito Santo, Goiás, Pernambuco, Piauí, Ceará, Mato Grosso, Sergipe, Tocantins, and São Paulo.

According to the court documents, the Gera Group justified the transaction as being aligned with its expansion strategy and the capture of new opportunities in the distributed generation market. Currently, Gera Energia has more than 30 projects spread across all regions of the country, totaling approximately 70 MW of installed capacity.

For the Raízen Group, the sale represents another step in its divestment plan in distributed generation, focusing on reallocating capital to activities considered strategic within its core business.

In July of last year, the company had already sold 55 distributed generation plants, 44 of which were acquired by Thopen Energia and 11 by Grupo Gera itself – totaling up to 142 MWp of installed capacity.

In May 2025, Raízen sold another 29 plants to Infraestrutura Brasil Holding, a subsidiary of Pátria Investimentos. This transaction continued the process initiated with the sale of 31 distributed generation assets to Élis Energia in May 2024.

In addition to restructuring its portfolio, Raízen, which also operates in sugar and ethanol production and fuel distribution, filed for extrajudicial reorganization as part of negotiations with creditors to restructure an estimated debt of R$ 65,1 billion.
